Intellectual Property Policy

1. Introduction
Anna Elliot recognises the importance of protecting intellectual property (IP) rights and ensuring the appropriate use, protection and management of its own intellectual property, as well as that of its employees, clients, and partners. This policy outlines the guidelines for the creation, ownership, use and protection of intellectual property within the business and aims to foster a culture of innovation and respect for IP rights.

2. Policy Statement

  • Encouraging innovation and creativity in a manner that protects the company’s and its clients’ IP assets.

3. Scope
This policy applies to all employees, contractors and third parties working with or for Anna Elliot covering all forms of intellectual property, including but not limited to:

  • Copyright
  • Trademarks
  • Patents
  • Trade secrets
  • Design rights
  • Databases
  • Domain names

It also applies to any work created, developed, or contributed to by employees, contractors, or third parties as part of their duties with Anna Elliot

4. Proprietary Methodologies and Strategic Frameworks

Anna Elliot develops proprietary methodologies, strategic frameworks, diagnostic tools, advisory processes and strategic models as part of its consulting, training and strategic services.

These materials may include, but are not limited to:

  • strategic methodologies and business models
  • diagnostic tools and scorecards
  • frameworks, diagrams and visual models
  • consulting processes and advisory approaches
  • presentations, workshops and training materials
  • research outputs, written strategies and planning tools
  • digital resources, templates and downloadable materials

Unless otherwise agreed in writing, all such materials remain the intellectual property of Anna Elliot.

Clients may be granted a limited licence to use materials produced for their own internal business purposes. These materials may not be reproduced, distributed, resold or used to create derivative consulting, training or advisory services without prior written permission from Anna Elliot.

5. Key Principles

a. Ownership of Intellectual Property

  • Work Created by Employees: All intellectual property created by employees during their employment with Anna Elliot, including but not limited to software, designs, content, marketing strategies, inventions and other creative works, is the property of Anna Elliot unless otherwise agreed in writing.
  • Work Created by Contractors: Contractors and freelancers engaged by Anna Elliot must agree to assign any intellectual property created as part of their contract to the company, unless otherwise specified in the contract.
  • Third-Party Intellectual Property: Any third-party intellectual property used in the company’s work (e.g., licensed software, stock images) must be obtained legally, with appropriate licences or permissions.

b. Use of Intellectual Property

  • Internal Use: Employees and contractors are permitted to use Anna Elliot’s intellectual property solely for work-related purposes. Any use outside of company activities must be approved in writing by management.
  • Client Work: Intellectual property created for clients will be governed by the terms of the relevant contract. Unless otherwise stated, Anna Elliot retains ownership of all underlying processes, systems, methodologies, frameworks, tools and strategic models used to produce the work. Clients may have rights to use the final deliverables for their own business purposes.
  • Third-Party IP: Anna Elliot will respect and adhere to all third-party intellectual property rights. The unauthorised use, copying or distribution of third-party intellectual property is strictly prohibited.

c. Protection of Intellectual Property
We are committed to protecting our intellectual property by:

  • Registering trademarks, copyrights, or patents where appropriate.
  • Using confidentiality agreements, non-disclosure agreements (NDAs) and IP assignment clauses in contracts with employees, contractors and third parties.
  • Ensuring proper documentation and records of all intellectual property developed or acquired by the company.

d. Confidentiality and Trade Secrets
Employees, contractors and partners must protect confidential information and trade secrets belonging to Anna Elliot, its clients or other stakeholders. This includes:

  • Not disclosing confidential information to unauthorised parties.
  • Using appropriate measures (e.g., secure storage, password protection) to protect confidential information.
  • Continuing to maintain confidentiality even after employment or a contract ends.

6. Infringement of Intellectual Property
Anna Elliot will take prompt and appropriate action in response to any known or suspected infringement of its intellectual property, including:

  • Investigating claims of infringement.
  • Taking legal action, including cease-and-desist letters, where necessary.
  • Cooperating with law enforcement and regulatory authorities in cases of intellectual property theft or violation.

Employees and contractors are required to report any suspected misuse or infringement of Anna Elliot’s intellectual property immediately.

7. Employee and Contractor Responsibilities
All employees, contractors and partners must:

  • Familiarise themselves with and follow this policy.
  • Respect the intellectual property rights of the company, clients and third parties.
  • Avoid the unauthorised use, reproduction, or distribution of intellectual property.
  • Report any intellectual property issues, such as suspected infringement or improper use, to management.

8. Monitoring and Enforcement
Anna Elliot will:

  • Regularly review the use and protection of its intellectual property.
  • Ensure that contracts, agreements and employee handbooks contain appropriate intellectual property clauses.
  • Take disciplinary action, including termination of employment or contract, for breaches of this policy.

9. Legal Compliance
Anna Elliot will comply with all relevant intellectual property laws and regulations, including copyright, trademark, patent and design laws, both in the UK and internationally. We will monitor changes in intellectual property legislation to ensure ongoing compliance.

10. Review and Amendments
This policy will be reviewed annually and updated as necessary to reflect any changes in intellectual property law or company practices.
